Phonetic Alphabet Tables Useful for spelling words and names over the phone. I printed this page, cut out the table containing the NATO phonetic alphabet (below), and taped it to the side of my computer monitor when I was a telephone help desk technician.

An alternate version, Western Union's phonetic alphabet, is presented in case the NATO version sounds too militaristic to you.

BETWEEN :
( hereinafter the “Disclosing Party”).


AND :
duly represented by
(hereinafter the “Receiving Party”).


WHEREAS it is contemplated that the Receiving Party will gain access to ...

WHEREAS for the purposes of ... , the Receiving Party will receive ... from the Disclosing party relating to ... (the “Information”).

WHEREAS, in order to facilitate the discussions relating to the ... , the Disclosing Party is willing to disclose the Information in confidence, and the Receiving Party is willing to receive the Information in confidence; and

WHEREAS the parties hereto wish to define the terms and conditions under which said Information shall be disclosed by the Disclosing Party in confidence and maintained by the Receiving Party in confidence;

NOW THEREFORE THE PARTIES HEREBY AGREE AS FOLLOWS:

1. The Receiving Party shall a) maintain the Information in confidence, b) not use or otherwise circumvent the Disclosing Party’s proprietary and rightful use of any such Information or other business secrets and c) shall not “reverse engineer” or attempt to “reverse engineer” any part of the Information; whether any Information disclosed hereunder by the Disclosing Party is in oral form or in writing, provided that written Information has been marked clearly and conspicuously as confidential.

Information, which is orally disclosed, may only be protected under this Agreement, if it is identified as confidential or proprietary at the time of disclosure.

Unless otherwise agreed, any and all samples, drawings and other documents supplied, furnished or otherwise made by the Disclosing Party shall remain the property of that party and shall be returned promptly by the Receiving Party upon receipt of written request therefore.

2. The Receiving Party shall not be liable for disclosure or use of Information provided by the Disclosing Party, insofar as said Information:

(a) is or becomes available to the public at any time from a source other than the Disclosing Party or the Receiving Party; or

(b) is released for disclosure by the Disclosing Party; or

(c) is lawfully received from a third party or parties; or

(d) is, at any time, developed by the Receiving Party completely independently of any such disclosure by the Disclosing Party (provided that Receiving Party does not intentionally attempt to “reverse engineer” any part of the Information disclosed per this Agreement); or

(e) is disclosed to comply with the law or legal process to which the Receiving Party is subject.

3. The Receiving Party shall be liable for the disclosure of Information except where such party establishes that such disclosure is covered by the provisions of Clause 2 above.

The Receiving Party shall promptly advise the other in writing of any disclosure, misappropriation or misuse by any person of Information as soon as practicable after it becomes aware of such disclosure, misappropriation or misuse.

4. No act or acts hereunder shall be construed as, or in any manner result in, conveying any license to the Receiving Party or to any third party. Furthermore, no disclosure of Information shall be construed as, or in any manner result in, any representation, warranty, assurance, guarantee or inducement for any purpose whatsoever.

5. The Receiving Party shall not use any Information of the other party in the provision of services to any third party, other than in co-operation with the Disclosing Party, without the prior written consent of the Disclosing Party.

6. The obligations of the Receiving Party under this Agreement shall terminate 24 months from the disclosure.

7. This Agreement shall be governed by the laws of the Grand Duchy of Luxembourg, and the Courts of Luxembourg-City shall have exclusive jurisdiction.



IN WITNESS WHEREOF the parties hereto have caused this Agreement to be executed in two originals by their duly authorized representatives as of the day and year first above written.
